By accessing or using OpenVC, creating an account, or subscribing to any plan, you agree to be bound by this Legal page. If you do not agree, you must not use the Services.
1. Definitions

2. The Services
OpenVC is a cloud based software platform designed to help founders and small businesses learn about fundraising, discover investors, and organize their fundraising process.
OpenVC is an informational platform only. OpenVC is not a broker dealer, investment adviser, placement agent, or fiduciary. OpenVC does not participate in transactions, negotiate deals, or provide investment advice.
3. Eligibility and User Representations
You represent and warrant that:

Your use of OpenVC complies with all applicable laws and regulations
If you are a US person, you acknowledge that certain investment opportunities may be limited to accredited investors under US law. OpenVC does not verify investor status and makes no representation regarding your eligibility. You are solely responsible for compliance with applicable securities laws.
4. Accounts and Access
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.
We reserve the right to suspend or terminate Accounts for violations of this Legal page, abuse of the platform, unlawful activity, or misuse of data.
Accounts that remain inactive for more than 90 consecutive days may be deleted, including associated data.
5. Subscriptions, Billing, and Payments

Payments are handled exclusively through Stripe

Subscriptions renew automatically unless cancelled

Taxes may apply depending on your location
Failure to pay may result in suspension or termination of access.
6. Cancellation and Refund Policy
You may cancel your subscription at any time by accessing your Stripe customer portal through your OpenVC account, using the same email address used for payment. Subscriptions remain active until the end of the current billing cycle.
All sales are final.
Once a subscription is activated, refunds are permanently waived, without exception. This waiver applies immediately upon activation, including but not limited to:

Accessing investor data

Viewing platform content

Exporting or downloading data

Using any paid feature
Any refund issued outside this policy is entirely discretionary and does not create an obligation for future refunds.
7. Acceptable Use
You agree not to:

Scrape, crawl, harvest, or automate data extraction

Replicate, mirror, or reverse engineer the OpenVC database
-
Resell, sublicense, redistribute, or publicly display data

Create derivative databases or competing products
-
Circumvent usage limits or access controls

Use OpenVC data for spam, mass outreach, or unlawful purposes

Use OpenVC content to train AI models without prior written consent
Violation of this section may result in immediate termination without refund.
8. Intellectual Property
All software, platform features, branding, and proprietary content are owned by OpenVC or its licensors.
You are granted a limited, non-exclusive, non-transferable license to access the Services solely for your internal, lawful use.
9. Creative Commons Licensed Content
Certain portions of the OpenVC investor database are licensed under Creative Commons Attribution NonCommercial NoDerivatives (CC BY-NC-ND).
You may share those portions only if:

You credit OpenVC

You do not modify the content

You do not use it for commercial purposes
Personal information, including email addresses and contact details, is expressly excluded from this license and may not be shared, redistributed, or reused.
All other OpenVC content remains fully proprietary.
10. AI Usage and Limitations
OpenVC uses artificial intelligence, including third-party AI models such as Google Gemini, to process, analyze, and evaluate data including pitch decks, investor information, and user inputs.
AI outputs are provided for informational purposes only. OpenVC makes no guarantees regarding accuracy, completeness, or outcomes. Decisions based on AI outputs are made at your own risk.
If you do not consent to AI processing, your sole remedy is to discontinue use of the Services.
11. Third Parties and External Providers
OpenVC may display or reference third-party investors, service providers, or external websites.
OpenVC does not endorse, vet, or guarantee any third party. All interactions, negotiations, and agreements with third parties are solely between you and them.
OpenVC shall not be liable for any loss, dispute, or damage arising from such interactions.

To the maximum extent permitted by law, OpenVC shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.
24. Governing Law and Jurisdiction
This Legal page is governed by the laws of the State of Delaware. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware.
